Corporate Counsel - In House

Corporate Counsel The candidate will review, analyze, negotiate and draft changes to customer provided contracts and/or changes to company standard contracts. Will assist with revisions to company standard contracts. Draft and negotiate company service agreements and related agreements (NDAs). Counsel internal customers on the implications of various terms and conditions of agreements and ensure that all contracts comply with the company's internal legal and business standard operating procedures. Assist with the protection of IP rights, including trademark and copyright registrations, monitoring abuse of company IP. Facilitate the execution and safekeeping of final documentation and be responsible to accurate and complete data entry in the on-line database. Assist with litigation management, where needed. Work in association with out counsel for the timely filing of SEC Form 144 and Form 4 documentation. Assist the General Counsel with various corporate matters. Should have an undergraduate degree and a law degree from a ABA accredited law school. Must have 2-5 years of combined experience in well-regarded law firm and/or in-house legal department, including 2+ years drafting and negotiating transactional agreements.
The candidate should have a J.D. degree from an accredited law school. Must have 5+ years of compliance and litigation experience in the U.S. Government contracts environment gained within a law firm environment, or with a U.S. government contractor. Should have hands-on litigation experience, with depositions, trial preparation, and settlement negotiations. Must have project management experience with complex commercial transactions, and all government contract types: CPFF, CPAF, FFP, FPLOE, with significant exposure to labor and employment law, FAR/DFAR, FLSA, EEOC, SCA, and intellectual property protection. Should have strong understanding of MS Office Suite applications.
