Senior Counsel, Real Estate The candidate will be responsible for providing Legal support to a P&L/platform or business segment within company. This will include providing legal advice and counsel to the assigned segment with primary focus on loan and equity workouts and structuring and negotiating new transactions. Serve as an integral member of the business segment management and legal teams; learn and understand the organizational structure and deal processes by developing peer relationships with local business partners and the headquarters legal organization. Advise business segment management on all legal issues Manage the structuring, negotiating and documenting of all Real Estate transactions which may include: loan workouts and restructurings; equity workouts and restructurings; partner and lender disputes; litigation management; asset dispositions; mortgage, CMBS and other secured lending; syndicated and participating loan structures; capital markets executions; general asset and property management advice; and new product and growth initiatives. Coordinate engagement of, and management, of outside counsel for business legal needs. Coordinate with Commercial Finance Centers of Excellence as needed on M&A, litigation, bankruptcy, environmental and employment matters. Manage all compliance-related matters, including ensuring that the P&L/platform/segment is knowledgeable of, and adhering to all Company/Commercial Finance/Real Estate compliance policies and procedures Participate and support both product and market growth initiatives. Participate and support process improvement and quality initiatives.
The candidate should have a Bachelor's and J.D. degree. A strong academic record is preferred. Must have 3+ years of corporate, M&A, investment, and other transactional experience with a nationally recognized law firm. Extensive hands-on M&A experience (public and private) performing due diligence, drafting principle agreements for mergers, stock purchases and asset acquisitions, and coordinating cross-functional deal teams is needed. Should have experience advising clients on strategic M&A, investments, and corporate finance activities globally, including acquisitions, divestitures, corporate reorganizations, JVs, equity investments, and financing transactions. Must be conversant in a broad range of legal issues impacting M&A transactions in the technology space, including tax, intellectual property and employment issues.
